I honestly hope this is a good thing for you guys. In a similar situation with my company regarding buyout rumors. I was wondering what kind of money you guys are going to be pulling in with the buyout? How many options do you guys have and what % were you able to put towards employee purchase plan? Good luck to all and let us know what you're worth now!

MedI sales rep typically made 2000-4000 a year in options if they met goal...a tenured rep like myself saw 5000 options at one point in time, so you do the math...for years our stock price was in the 20's and 30's, so I'm going to be just fine.

For many, the stock options have been relatively worthless for years as stock went down from 60's...50's...to 20's and rebounded to low 30's recently. Buyout is great for anyone that stuck around and continued contributing to build this great MedI company. Thanks to all of them.
At a high growth company like Medi, stock options made the total comp lucrative for many in sales force if they were part of the 50% that exceeded goal each year. It helped compensate for the low-to- middle-of-the road base pay.
Seems base pay would now have to change dramatically though, as the bloom is off the options rose as we move forward as AZ. 200 shares of AZ stock or AZ options would not come close to replacing the loss of the $$ upside potential of the Medi options.
Of course, it would have taken several more years fo Medi to get to $58/share on its own...but we would have been accumulating options during that time anyway, thus making a future payoff even more dramatic than the payout over the next 6 weeks.
Any thoughts: If we keep our jobs, would salaries be adjusted upward to cover the loss of the stock options program?

Well, if we are immediately vested in all our options, like the case in most buyouts. I will be looking at take in over $400,000!!!! Package even more if I get the 1/2 yr severance. Life is good, glad I toughed it out. To the non-believers who left yrs back and called me a fool for staying around. SUCK MY ASSHOLE!!!

Not as much as 400k, but also glad I toughed it out. I'm weighing things here...maybe jump to yet another biotech (and the options) as I don't see how an AZ comp plan can compare to some of the MediI go-go years.
It's the withholding taxes that are killing me on this though, as the WH is more than I ever earned in a year. I'd even forego any severance payout to have my hands on the WH for a full year.

Some of the founding members must be over a million. One's that were successful anyway. EESP, stock options in the teens, twenty's...unbelievable. Great going!

That is impossible unless you are some marketing/home office hack. The number of options granted to new employees has dropped due to the way they have to be expensed by the company. No bonus grants have been issued for the 06-07 season either

Poster there probably a not a field rep, perhaps a home office staffer in a professional position in marketing or finance.
If a sales rep though, 100k+ gross from the options is doubtful, unless they gave you 4000 options at 30 or so when you signed on. It might be possible for a newbie as NQ options can be granted at strike prices lower than market value but I don't think Medi was awarding below-market NQ's .
Either way newbie, you're perfect for this question if you're sales rep: you likely joined Medi from big pharma. Planning on staying around now for a commission program that no longer includes stock options in a growing biotech ?

I was not going to respond but decided to. I am a BSS, going on 7 yrs and I will get $250K, or so, pretax. Taxes? Probably $100K? I am meeting with my accountant to try to get a grip of the tax part. My 2007 household income will be about $650,000. (spouse + my income). The accountant I spoke with yesterday told me we will be 35% bracket. Income last year was $508,000 and we were subject to AMT already and will be this year as well. We got hit hard with taxes in 06...so this year will be more of the same, I suppose.
It's a gift!

I agree, he's full of shit. 508K combined last year's income? She must have pulled in +350K, because no way you hit over 140-150K as a BSS last year with this company.
Anyone else want to give us some honesty on how you're going to do with the buyout?

Easy big boy. It is very possible to pull those #s as a BSS. Last couple years have been good. He may be a CMM also.

Some BSS' made about 200K. Read the bonus plan and look at the rankings. At 7 years 250K in options is easily possible if you were exceeding goals.

Florida 2001: "we'll never see $40 again". He was so right..but in the wrong direction. Stock never recovered until AZ purchase.
"we're all going to be millionaires" was not too far off the mark. The original CMM's were already millionaires from Syn launch though. Certainly they must be millionaires yet again, lightning striking twice for that group.
Unfortunately, the disparity in BSS goal setting kept far too many of them of the out of options pools year after year. Congratulations to those that stayed...they might not have become millionaires again like the original CMM's that were still here, but certainly a nice windfall anyway.

I am a BSS and made almost $150K last year. There were some extra incentives, tracking, etc. This is honest. Some made more.

The more you brag about it the faster it will disappear after a merger. I've seen it before with other organization. You need to keep your trap shut and enjoy it while you can get it.
