i worked for this med device company for less than a year, thought things were good then out of no where, im told they are closing the territory and letting me go,,, they gave me a release form to sign saying i can never tell anyone what i saw or did, its kind of sketchy,, just wondering what everyone else thinks,,, they want to give me a small severance, but not until i agree to sign....

If the severance isn't that much, then don't sign.

If there's no reason you would be using "trade secrets" for any other employer, then sign. You can take anything you have in your brain when you leave. It's hard copy stuff (literature, company policies, data) that can get you in trouble. But proving it is awfully difficult. The noncompete clauses in contracts need to be very specific (time, distance, etc.) to be enforceable. And if you didn't have an employment contract, what can they do?

You can always have an attorney look at what they want you to sign.

And if you don't sign, you can always use the fact that the company was "closing the territory" (aka lay-off) and if they fire you, you can use this as proof they were letting you go if there is any contest to an unemployment claim.
