Word on the street is they are shopping Vertical around and are close with some buyers. The VC money has held this asset for their 5 year horizon and are qualified for the QSBS, state and other negotiated tax benefits. The dissolution will be billed as part of the long term goal of the fund, a tax play and pitched as a opportunity with still "meat on the bone" in addition to a new pipeline with the merger with Osmotica and future brands. They have hired new compliance officers, are reviewing inventory management, calling for a reduction in spend on speaker programs as well as marketing in general. This along with the reduction of compensation for the sales representatives should make for a attractive margin for Fiscal YTD 2016.

As employees we can confirm that all management activities have been focused on preparing for a 3rd party audit. We also understand that our brands are hitting the skids in the market place with fatigue at the prescribed level and increased rejection from insurance coverage. Hopefully this hollow opportunity makes a payday for Management and their Clemson Boy Toy.

Just because they want to sell, does't mean anyone wants to buy this D- pharma company

Right, who would want to buy a company that makes millions of dollars in profits a year?
    Foolish little half-wit.

So then what happens to the reps? They certainly have made it impossible to make any money this year. You do well one quarter- you're screwed for the next.

You are so full of crap, if that's true when is it suppose to go down???
Why are all these changes happening so fast - would the new owners hire new reps, change company name, change all the marketing material, samples, etc.
    Idk

The company changed its name because it merged with another company and absorbed that name. They are showing the market change and momentum. I"ll give you a example , Value Jet merged with Air Tran then became Air Tran, then it sold to Southwest and became Southwest. Also, they are adding reps to tell a story. " we merged, have increased sales reps and we are growing "Although they are really increasing profits by reducing the spend and increasing pricing to grow the bottom line. The goal is to show the company on a upward trend for a potential buyer. They are moving quick so they don't have to address that this gamble has resulted in a reduction in buyers, health plans are beginning to require more PA to cover lorzone. This will result in less health plans covering lorzone, in addition the generics will become more attractive to health plans as the pricing gap widens. The therapeutic benefit between 500mg generic and 750 mg brand is non existent. In simple words they are peaking and the picture won't be so bright in 12 months. That's why VC add, value and exit.

The bottom line is marketable sales reps should leave now before getting caught in a mass layoff. End of story.

So vertical is Osmotica now? Hmm that's why they are having us sign all new paperwork. Vertical / Osmotica has been hush hush about everything..... Trying to keep us in the dark as much as they can. Good thing I have a gig lined up. Peace out - I hope you all find a new gig soon too.

Wouldn't potential buyers see through this and know the numbers have been multipulated/ rigged?

nothing is rigged, it's just a story. We expanded the salesforce increased profit in 2015, in 2016 we we adjusted operations and continued to increase profit, we are just a bunch of nimble forward thinkers who can adjust for market changes. That's why they are, looking to sell, the story gets more dicey in 2017 when they profit starts to flatten out. Understand the buyer of this company may have many factors that make it attractive, move headquarters to a city with tax incentives, split up the company ect..the osmotica merger purpose was to make one company with a interesting story manufacturing, patents and a retail sales force so that it could be sold. As seperate companies they were just two small companies loosing momentum.

in response to the question "how is this company to work for?" the answer is a train wreck. it's like they try to fuck things up—that's the only logical explanation, because no one in real life could be this stupid. double whammy in the last few hours - they didn't get the conzip corrective action letter approved by the FDA before telling the sales force that they would be distributing it between whenever it gets mailed to them and oct. 31, so of course they had to walk that back (like they've done with at least 3 other major communications in the last few years), and—the icing on the cake—want the sales force to stop using all lorzone marketing materials "effective immediately" and only sell with the PI until they create and distribute new ones, which "does take time." did the in-house counsel go to clown college? wonder when the next useless conference call will be scheduled to take reps out of the field to tell them that the IC plan will be "adjusted accordingly" since they can't sell conzip and have only a PI to sell lorzone. meanwhile, at home office, greg voyles is crushing bud heavies and stuffing pizza into his idiot mouth since he's useless at doing anything else and mike fritz is dialing in from connecticut because he can't even be bothered to show up and actually lead. can't wait to see what great things are in store in the upcoming days!!

Greg Boyles should be demoted again. COO to Chief Commercial Officer. Next step down the ladder for him should be entry level sales rep. There is more coming from the FDA. You can feeeeel it.

Yes. They are going to sell. An Equity firm has majority ownership of Osmotica and Verts. They are building a package to sell. They probably didn't realize that all the Intendis rejects they hired at Vertical would cause all this FDA problems. I doubt they care because all the people at Verts will be gone when sold. All the Verts reps will be gone too. Big pharma company will not want Prenatal reps, nor will they want reps who sell tramadol. Things will not get better there at Verts. Equity firm will clean up and all the rest of you? poof!
