NewCo - So what are you hearing ?

    Starting a thread to get some advance truth on what the NewCo split will mean.
    • How long has this been in the works ?
    • How complete is the list of who's going to NewCo ?
    • Is this a way to unload those close to retirement ?
    • Salaries will be guaranteed for 2 years.. what about benefits and pensions ?
    What are you hearing from reliable sources ?!?!?

    You have the retirement piece wrong, it’s a way to unload underperformers and dead weight...

    It is a way to drive down stock price to buy back at cheaper price.

    Anyone know the timing on the decisions ? Have they started yet ?

    Target is to make all personnel; decisions by late 3rd/early 4th quarter this year, formally separate the company 1Q2021. Yes the discussions have already started.

    Interesting - women’s health sales force & marketing is obvious along with biosim group. Will be interesting to see impact on integrated account management - move part to new co ? Restructure again ?

    Some manufacturing sites, along with the people at the sites and division people who support the sites, will also go to NewCo. Merck Human Health and MMD Divisions will look very different come the end of this year.

    Who’s making these decisions? Is there a committee or is it HR ?

    Look for oncology spinning off into its own independent company. HIV could do the same if there is a pipeline past the implant.

    There is a NewCo Committee, they make the decisions in conjunction with the various business units impacted. HR not making the decisions. Know this though, if you are a poor performer , slacker, are over-paid, you stand a very good chance of ending up in NewCo.

    Gotta believe there will be a downsize along with moving some to New Co. ?

    NewCo to have an office location in West Point area as well as HQ in NJ

    Is there a hiring freeze now or will there be one later? got an email notifying me that a position is no longer being recruited for..

    they are going to freeze a lot of potentially implicated open positions until they figure out who is going where, only makes sense.

    Likely Kenilworth, Merck is behind a brand new clinical supplies facility in Rahway, not giving that up. The site near WP will be a little trickier, but most likely UG will go to NewCo. Guarantee of same salary bonus for 2 years at NewCo, but after that there is no way a company with the low margins NewCo will have can maintain that financial commitment

    They emptied the Broad St site next to WP -- was that ever leased out? NewCo could go there.

    Have they officially announced a hiring freeze ? Makes sense but I haven’t seen an official announcement if there is one

    Renovating UG this year. Likely for NewCo.
