Was there any question who benefits from MDT deal? --- this should settle it

    The folks in charge change the period in which they get Golden Parachutes from 12 months to 24 months after Medtronic buy-out.

    Covidien execs are using this buyout as a personal enrichment scheme ---- and Medtronic has barely scratched the surface on what this will cost them.

    This could all be for nothing if the Treasury sticks it to Medtronic and makes the tax break not worthwhile. Then what will the boys in Mansfield do? Hope they haven't already spent their money yet.

    Has anyone ever actually seen Covidien "headquarters" in Ireland, or is it just a PO Box and a leprechaun?

    First … if you take issue with this, your blame/disgust should fall in the following order: Secretary of Labor for the law within which Covidien is legally making this change; BOD of Covidien and/or Medtronic which approved this change; yourself, for not getting to that level and doing the EXACT SAME THING (which you would).

    Second … do you really think for one nanosecond that Medtronic is unaware of any aspect of this acquisition or what it costs them? Please. They've paid fines in the past that make this acquisition look like a $0.02 impulse purchase.

    Third … the change that you site doesn't compare to the Kozlowski scandal of the past. Kozlowski and the BOD were benefitting from a loophole in the system; this change is legal.

    Grow up.

    Do you have first hand experience working for Tyco/Covidien and witnessed some of the shit they pull to make money?

    Someone else here needs to grow up. If you think the due diligence process isn't flawed, obviously you've never been involved in an acquisition. How many crap acquisitions are out there? How about BSC and Guidant for starters? No company being acquired ever fully discloses. They're trying to maximize value. While they're not going to outright lie, last thing Covidien will do is pull all of its skeletons out of the closet and parade them down the street.

    MDT has never paid a $40+ billion fine. Get your facts straight.
