Allergan approaches Salix Pharmaceuticals for a possible deal

    Anyone have news about Allergan still trying to buy someone before the big meeting. Or is that not possible since Allergan agreed to the meeting now. If anyone has info, would u happen to know what company.

    No specific news about Allergan trying to make purchase before finalized Dec. 18 meeting. However, yes, Allergan is still free to make a purchase, AGN being far more financially sound than Valeant's financial quicksand (VRX is $17-billion in debt, debt "resides in U.S., profits reside offshore") and AGN has not aggressively poked at US government agencies the way VRX seems to take great pride in doing (FDA, SEC, IRS, Treasury, Congress, etc. etc. etc.) Pyott has clearly stated that he is not interested in the tax inversion status as a strategy for acquiring another company, that inversion is not sustainable as a business strategy. If Allergan acquires from offshore, that may indicate that it will be done in the fashion of Walgreen (Walgreen, eventually, as it realized inversion was not going to work), as a true strategic fit for the greater company, rather than as a financial engineering trick.

    Top Salix shareholders want to back out of Cosmo deal. They would rather take the "modest" $25-million back out fee, and instead sell Salix to a company such as Actavis or Allergan.

    Salix stock is up 4% today. The deal doesn't appear to be so dormant anymore.

    For Salix people - your company like all others I have known is doing the right thing by you in case you lose your job through an acquisition. I feel for the people recently let go at Allergan. Most of them did not have stock options even though many leaders within the company supported it the executive leadership couldn't stand the thought of spreading ownership to lower level contributors - simply another example of the company talking about how much they valued employees but failing to put $ behind their words. Anyone with the company less than 3 yrs will also have their Allergan contributions to their 401k taken back by Allergan - they will not get it. Many of those downsized have less than 6 months severance, their benefits will end immediately upon their last day of employment - Allergan is NOT offering any transition period for health coverage and sadly the company doesn't plan to send the severance package info/insight to those severed until only one to two weeks before their last date. This gives the individual little time to make decisions important to their family. So much for "team Allergan" and the blue wrist bands many of these people wore out of loyalty to the company. Salix employees - if you are acquired by Allergan or anyone else thank your leadership for actually demonstrating how valuable they consider you to be by protecting you with a good severance agreement and know if you are acquired and keep your job many of the benefits you now enjoy will be gone. Sorry -

    This is the motive: Valeant-originated trash talk and falsehoods like those reported in clause 124 of the Allergan vs. Valeant/Pershing Square Complaint for Violations of Securities Laws, currently in the California court, designed to sow confusion in the public mind and to undermine Allergan employee and customer confidence:

    "124.) Throughout April and May (2014), Valeant also undertook to communicate directly with Allergan's customers and employeesl Among other tactics, Valeant management and personnel:

    a.) Began representing to Allergan's customers that the acquisition was a "done deal" and "we own them";

    b.) Offered rebates on both Allergan and Valeant products;

    c.) Contacted Allergan sales representatives and welcomed them to Allergan;

    d.) Visited Allergan customers, announcing that they were Allergan's new sales representatives;

    e.) Began telling Allergan customers that Allergan's SkinMedica line was going to be divested;

    f.) Sent a letter to its customers discussing its merger proposal and plans for the joint company going forward."


    Valeant is truly a class act "Canadian" company, eh?

    Allergan has gotten it's way with everything so far you just don't see it because of the valeant spin machine

    Let's review:
    - 1st lawsuit about the pill was all PR and hyperbole
    - there is a preliminary hearing on insider trading despite having to Re-request it after proxies were in
    - meeting is December 18ty
    - allergan governance is not with the courts

    So there has been very little rulings so far, there has been a lot of maneuvering - Allergan has the playing field exactly as hoped for
