    WASHINGTON (Reuters) - Swiss drugmaker Novartis has won U.S. antitrust approval to close its purchase of generic dermatology products maker Fougera.

    The Federal Trade Commission said on Monday that as a condition of approval, Novartis agreed to give up the rights to market three topical skin care medicines made by Tolmar Inc and to cancel a deal for a fourth.

    Novartis said in May that it would buy Fougera for $1.53 billion from a consortium of private equity funds led by Nordic Capital, DLJ Merchant Banking and Avista Capital Partners.

    The three generic creams that Novartis must give up marketing rights to are a topical solution to treat psoriasis, a local anesthetic, and a cream to treat rosacea, which causes chronically red skin, the FTC said.

    In addition to generic dermatology products, Fougera also has a branded specialty pharmaceuticals business. It had 2011 sales of $429 million.

    The four drugs Novartis gives up:
    The FTC said it is ordering Novartis to divest its version of the psoriasis treatment calcipotriene; the local anesthetic lidocaine-prilocaine cream; metronidazole gel, which is used to treat rosacea, and end its marketing agreement with Tolmar Inc., which makes those products. Novartis is also being ordered to return the rights to diclofenac sodium, a treatment for actinic keratosis.

    FYI, Diclofenac Sodium = Solaraze.

    To be clear, these four products revert to Tolmar, who must now find a new marketing partner. Novartis gets the Fougera versions.

    So what does this mean for Solaraze gel being sold as it is now? That last sentence is confusing!

    Novartis will sell PD's Solaraze, they will cancel their pending agreement with Tolmar.

    Actually, that is not accurate. Sandoz will be selling Solaraze.

    What will happen?

    The only thing we have to fear is fear itself.......and a pink slip. What happens, happens. No point in getting worked up. If you read the other company boards, it's all the same thing. Mgmt sucks, our VPs, NM, DMs, home office, etc., etc., are morons, vindictive, clueless, blah, blah, blah. It's kind of comical that everyone on these boards do nothing but bitch. Guess that's what they call human nature.

    Is PharmaDerm still a separate line or have the products been combined with Sandoz yet?
