No go with AMGN

Dangerous time right now. If Horizon underperforms from now to close Amgen has a get out of jail free card. They could throw up their hands and allow the FTC to win the case and they wouldn’t have to pay the penalty. Horizon stock would crash and we’d find ourselves victim to a hostile takeover.

Primary Care reps figuring out Tepezza lol
Right... all the IBU reps know how to do is push paper. Keli & Tim shit the bed when they turned their cheek to the people who launched it. "Marketing was the reason we were so successful!" Yea, how's that working out for you now? There's a commercial on every 10 min and yet you still can't make your number.

Should have never let the Clydesdales run away. Payback is a...

Amgen doesn't want a get out of jail free card. And we won't be "hostiled" because of the FTC lawsuit. You won't see any more m&a activity in this space until after the presidential election. Not worth the hassle.

This hurts, because now they will discover the 340b scam of allotting vials to favored reps. This whole toxic and corrupt culture is going to get exposed and our stock will crater. Our best bet was for some idiots like Amgen to buy us. Everyone here knows we are a Ponzi scheme.

The smartest ones moved on a few weeks ago and and are now making bank already and not having to deal with the favoritism and corruption here. Wish I would have gone with her.

Wrong. They would have to pay back almost $1 billion dollars. They will not back out.

This is just another stupid move by the democrat FTC commissioners. This exactly why a Republican one resigned in protest earlier this year. They are just wasting tax payer dollars in these frivolous lawsuits.
The deal will still close, and Amgen will continue working on determining what changes they are going to make in the meantime. We can probably say farewell to that promise that they likely won’t lay anyone off for several months after close.

Haha the FTC has lost exactly 1 case. But yes the Biden administration is anti business and this is unprecedented. If they win then Amgen or horizon will sell off 2 pipeline assets in the end. Which is ridiculous as neither are slam dunk approvals or blockbusters. Yet another example of Biden being the worst president in history. Ironically Tim backed him.

haha. They lost 4 in September of last year alone, moron.

They will win and likely not have to sell off anything.

It’s not wrong. If Amgen backs out, yes they pay. But if Amgen decides to cease fighting the FTC and allow them to win the suit, then the deal would be terminated and Amgen would not be in breech of the contract.

get your facts straight before you state something is wrong.

The Transaction Agreement provides that, in the event of a termination of the Transaction Agreement due to the failure of specified conditions related to obtaining antitrust clearance for the Transaction or related to antitrust laws, Amgen will pay Horizon $974,415,054 upon termination of the Transaction Agreement under specified circumstances.

The Transaction Agreement may be terminated at any time prior to the effective time in any of the following ways:

if there is in effect any law in any jurisdiction of competent authority, or final and non-appealable order, writ, decree, judgment or injunction issued, promulgated, made, rendered or entered into by any court or other tribunal of competent jurisdiction (other than under any antitrust laws of foreign investment laws of any jurisdiction that is not (1) a Required Non-U.S. Jurisdiction or (2) under the HSR Act), that permanently restrains, enjoins or otherwise prohibits the consummation of the Transaction (except that the right to terminate the Transaction Agreement pursuant to this provision is not available to any party whose breach of any provision of the Transaction Agreement was the primary cause of such law, order, writ, decree, judgment or injunction) (a “Restraining Order Termination”);

my apologies. I forgot this part.
They pay IF there is a valid termination which includes lack of regulatory approval.

The Transaction Agreement provides that, in the event of a termination of the Transaction Agreement as described in this section (each a “Specified Termination”), Amgen will pay Horizon (or an entity designated by Horizon) $974,415,054 (the “Reverse Termination Payment”) in immediately available funds within seven
(7) business days thereafter; provided that Horizon will not be entitled to receive the Reverse Termination Payment if Horizon’s breach of the Transaction Agreement is the primary cause of such Specified Termination. The Reverse Termination Payment is owed when there is a valid termination of the Transaction Agreement if:
• by Amgen or Horizon pursuant to an End Date Termination, if, on the date of such termination, each of the conditions has been satisfied or, to the extent permitted by applicable laws, waived, (other than
(Y) certain closing conditions specified in the Transaction Agreement or (Z) where the Transaction is implemented by a takeover offer, any other condition that by its nature can only be satisfied by no later than the latest date upon which the takeover offer may be declared unconditional in all respects);
• by Amgen or Horizon pursuant to a Restraining Order Termination pursuant to or in connection with (1) the HSR Act or (2) any other antitrust law or foreign investment laws in any Required Non-U.S. Jurisdiction; or
• by Horizon pursuant to an Amgen Breach Termination with respect to the consents and regulatory approvals section of the Transaction Agreement in connection with (1) the HSR A
